1. General Conditions

1.1. The terms and conditions outlined in this document apply to the services and products offered by NPay, a mobile application developed and owned by Legendary Consulting Limited, a company incorporated in Belize under Number 176986, Address Nwe Horizon Building, Ground Floor, 3 1/2 Miles Philip S.W. Goldson Highway, Belize City, Belize.

1.2. Terms of Use govern your access to and use of the NPay mobile application and include all of its associated features, including the crypto wallet functionality. These terms also govern any analytics, content, services, functionality, and media offered by NPay, all of which are referred to herein as “Products”.

1.3. Please read through these Terms of Use carefully before using NPay. By using NPay or by clicking to agree or accept the Terms of Use outlined herein, you are agreeing to accept these binding Terms of Use. This also applies to our Privacy Policy, Cookies Policy, and any other related policies. If you do not agree to these Terms of Use or Related Policies, you should not access or otherwise use NPay.

1.4. You should be aware that your country of residence may impose certain unique restrictions to the Products provided by NPay, and you are responsible for complying with rules and regulations as applicable to your activities with NPay.

1.5. The information available on NPay is for general information purposes only. While we aim to provide accurate and useful information, we do not accept any responsibility for the use of this information, and we cannot warrant its accuracy or usefulness. Use of this information is carried out at your own risk, and we do not accept any liability for any consequences users might incur from using the information, such as through loss of funds while performing any operations within NPay.

1.6. We reserve the right to update or change the format and content on NPay without notifying users. This content and format are accepted “as is” and should be used at your own risk. The content on NPay may include content related to or provided by third parties. We do not accept responsibility for the information and views presented in third-party content. We are not liable to users or third-party content providers for the accuracy or nature of third-party content. The content on NPay is not intended to be used as advice of any kind, nor is it intended to be used to inform or guide user selling, exchanging, and trading of cryptocurrencies or other digital assets. We do not accept liability for any financial losses incurred while using NPay or for damages of any kind incurred because of anyone using NPay in any way, including through relying on the information or tools offered by NPay.

1.7. We cannot and do not offer a guarantee that NPay is free from viruses, malware, or other harmful software, and it is your responsibility to check for malware and viruses and implement appropriate IT security when using NPay.

1.8. NPay may revise and update these Terms of Use at our sole discretion, and any changes made are effective immediately. You are expected to check this page from time to time to monitor for any changes, and any changes made will be binding to you and your use of NPay.

1.9. NPay reserves the right to make changes to the mobile application or withdraw the mobile application, and to amend or withdraw any Products that we offer at our sole discretion. We do not guarantee that NPay will exist in perpetuity with uninterrupted service, and we will not be liable if NPay becomes unavailable for any period or at any time.

1.10. To access NPay, you may need to provide personal information such as your name, email address, and phone number. By using NPay, you agree to provide accurate and complete information and to keep this information up to date. You also agree to keep your login credentials confidential and not to share them with anyone else. Any activity that occurs under your login credentials is your responsibility, and you agree to immediately notify us of any unauthorized use of your account or any other breach of security. We reserve the right to terminate your account or access to NPay at any time, for any reason, without notice to you.

1.11. NPay may include links to third-party websites or services. We do not control or endorse these third-party websites or services and are not responsible for their content or actions. Your use of these third-party websites or services is at your own risk, and you should review their terms of use and privacy policies before using them.

1.12. NPay is provided on an “as is” basis without any warranties or guarantees of any kind, either express or implied. We do not guarantee that NPay will be error-free, uninterrupted, or secure. We are not responsible for any damages or losses that may result from your use of NPay, including but not limited to direct, indirect, incidental, consequential, special, or punitive damages. Any reliance you place on NPay or the information and materials presented on NPay is strictly at your own risk.

1.13. These Terms of Use and any related policies constitute the entire agreement between you and NPay and govern your use of NPay, superseding any prior agreements or understandings between you and NPay. These Terms of Use are governed by and construed in accordance with the laws of the country in which NPay is offered. Any dispute arising out of or relating to these Terms of Use or your use of NPay will be subject to the exclusive jurisdiction of the courts of the country in which NPay is offered.

2. Use of NPay Services

2.1. NPay is a mobile application-based service that provides a crypto asset wallet, enabling users to store, send, and receive crypto assets.

2.2. By accessing or using the NPay services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as any additional terms and conditions, policies, and disclaimers provided by NPay.

2.3. You represent and warrant that you are at least 18 years old or of legal age in your country of residence and that you have the legal capacity to enter into these Terms and Conditions.

2.4. NPay does not provide any investment or trading advice. The information provided by NPay is for general information purposes only, and NPay does not accept any responsibility for the use of this information. Use of this information is at your own risk, and NPay does not accept any liability for any financial losses incurred while using the NPay services.

2.5. NPay reserves the right to update or change the format and content of its services without notifying users. The content and format are accepted "as is" and should be used at your own risk. The content may include content related to or provided by third parties. NPay does not accept responsibility for the information and views presented in third-party content.

2.6. NPay cannot and does not offer a guarantee that its services are free from viruses, malware, or other harmful software, and it is your responsibility to check for malware and viruses and implement appropriate IT security when using the NPay services.

2.7. NPay may revise and update these Terms and Conditions at its sole discretion, and any changes made are effective immediately. You are expected to check this page from time to time to monitor for any changes, and any changes made will be binding to you and your use of NPay services.

2.8. NPay reserves the right to make changes to its services or withdraw its services at its sole discretion. We do not guarantee that our services will exist in perpetuity with uninterrupted service, and we will not be liable if our services become unavailable for any period or at any time.

2.9. To access NPay services, you may need to provide registration details, documents, or other information. It is your responsibility to ensure that all this information is valid, current, and correct. Your use of our services is conditional on you providing correct information and adhering to our Terms and Conditions and Privacy Policy.

2.10. Apple Applications. If you are using NPay services via an Apple application, you must do so on a device owned or controlled by you using the Apple iPhone OS. Apple has no obligation to provide you with support or maintenance services regarding this application. Please contact NPay with any questions regarding maintenance or support, rather than contacting Apple. Apple is a third-party beneficiary under the Terms of Use outlined in this document and reserves the right to enforce these terms against you, unless stated otherwise in the Terms and Conditions. Apple will not be responsible or liable for any third-party claim that your possession or use of the Apple application infringes on intellectual property rights. You state by agreeing with the Terms and Conditions that you are not in any country subject to US government embargo or that has been determined by the US to be a "terrorist supporting" country.

2.11. Android Applications. If you are using NPay services via an Android application, you must do so on a device owned or controlled by you using the Android OS. Google has no obligation to provide you with support or maintenance services regarding this application. Please contact NPay with any questions regarding maintenance or support, rather than contacting Google. Google is a third-party beneficiary under the Terms of Use outlined in this document and reserves the right to enforce these terms against you, unless stated otherwise in the Terms and Conditions. Google will not be responsible or liable for any third-party claim that your possession or use of the Android application infringes on intellectual property rights.

2.12. NPay is not responsible for any fees or charges that may be imposed by your internet or mobile service provider when accessing or using our services. You are responsible for paying any fees or charges associated with using our services, including any fees or charges associated with the transfer of crypto assets.

2.13. NPay may provide links to third-party websites or services as a convenience to users. NPay does not endorse, guarantee, or assume any responsibility for the accuracy, completeness, reliability, or usefulness of any information, content, or services provided by these third-party websites or services. Your use of third-party websites or services is at your own risk, and you should review the terms and conditions and privacy policies of these third-party websites or services before using them.

2.14. NPay reserves the right to suspend, restrict, or terminate your access to our services at any time and without notice if we have reasonable grounds to believe that you have violated these Terms and Conditions, our Privacy Policy, or any applicable law or regulation. In the event of a suspension, restriction, or termination, you may not be able to access your crypto assets or complete any transactions using our services.

2.15. NPay may suspend, restrict, or terminate our services at any time and without notice for any reason, including but not limited to maintenance, security, or operational reasons. In the event of a suspension, restriction, or termination, we will use reasonable efforts to notify users in advance, and we will not be liable for any losses incurred as a result of such suspension, restriction, or termination.

2.16. These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and NPay and govern your use of our services. These Terms and Conditions supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and NPay. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

3. Provision of Services

3.1. To use NPay's services and products, the User must open a Client Account with NPay.

3.2. NPay reserves the right to approve or reject any application based on our internal policies. We are not obligated to disclose the reasons for our decision regarding an application.

3.3. The Client must provide all the necessary information and documents required to open an account. NPay may request additional information after the account has been opened and approved, and the Client must provide this information to continue using their Client Account.

3.4. If there is a change in information and/or documents, the Client must inform NPay immediately. If a Client refuses to provide additional information when asked, NPay may withhold or stop access to the Services and the Account.

3.5. Transaction limits and fees are set at the sole discretion of NPay and are subject to change. If the Client does not agree to the changes, they must inform NPay immediately. If the Client continues to use our Services, that means they accept the changes.

3.6. The Client acknowledges and accepts that any losses incurred from losing access to NPay's services are not the responsibility of NPay, and NPay is not liable for these losses.

4. Transaction Operations


4.1 Definition of "Transaction Operation"

In the context of these terms and conditions, a "transaction operation" refers to the deposit, withdrawal, storage, or transfer of crypto assets for crypto payment purposes only, unless explicitly stated otherwise.IMPORTANT: Please note that NPay does not support the trading of digital assets and cannot be held responsible for any transactions related to digital assets.

4.2 Requests and Instructions

The client is responsible for providing instructions relating to the transaction type, amount, and wallet information. The client initiates the transaction independently, and NPay executes the transaction after the client confirms the transaction operation conditions and submits the instructions.NOTE: NPay is not liable for the accuracy, completeness, or legality of the information provided by the client, nor can it be held responsible for any activities or results of instructions provided by the client.

4.3 Information Provided by NPay

The client can access information relating to the initiated transaction on NPay's transaction system,
which includes:

• The requested amount of the transaction
• Transaction fees
• Wallet or account information in accordance with the client's instructions
• Other fees related to the transaction (e.g., blockchain fees)
• Rates and time limits, where applicable
• The total amount of crypto assets deducted from the client

4.4 Confirmation and Execution

Once the client confirms the transaction and the instructions are provided, NPay will execute the transaction and transfer the crypto assets to the client. Confirming the transaction will authorize NPay to charge commissions and fees from the client's account. If there are insufficient funds in the client's account to cover these fees and commissions, the transaction will not be processed.

4.5 Transfer

The initiated transaction transfer will be processed immediately, but please note that due to the nature of blockchain technology, the transaction time may take some time to complete.

4.6 Limitations

NPay reserves the right to apply limitations to single transactions or daily/monthly/yearly transaction volumes per client account.

4.7 Fees

By accepting these terms and conditions, the client agrees to pay NPay a fee for each initiated transaction. Blockchain fees will be automatically calculated based on the actual and required fees for processing blockchain transactions, and will not be charged by NPay. Our fees are subject to change without notice, and the client is responsible for paying these fees when charged. The client acknowledges and agrees to NPay's fees and understands that NPay may withdraw funds from the client's account to cover such fees.

4.8 Fraud Attempts

If NPay suspects any fraudulent activity on the part of any client, we reserve the right to suspend or terminate the client's account and reverse payouts. We also reserve the right to contact law enforcement agencies, financial regulators, and third parties regarding any suspected fraud. NPay is not liable for any fraud or illegal activity carried out by the client.

5. Storage fee

5.1. The Client acknowledges and agrees that NPay may apply a storage fee to inactive accounts.

5.2. If a Client Account becomes subject to the storage fee, charging will stop on the next business day after the Client starts transacting with NPay services. The storage fee will be charged to store the Client's balances if there is no transaction using NPay services for a period of six (6) to twelve (12) months. Transactions include withdrawal, deposit, exchange, or transfer.

5.3. The Client will be notified of the applicable storage fee and its amount after their account has been inactive for six (6) months.

6. Refund, Cancellation, and Chargeback

6.1. The client understands and agrees that all transactions made through NPay are final, and no refunds, cancellations, or chargebacks are applicable for any type of transaction. Even if a transaction experiences technical delays, chargebacks will not be allowed, and NPay will process and transfer the crypto assets as per the client's instructions provided during transaction initiation. This means that the client will receive the requested amount and type of crypto assets regardless.

6.2. NPay processes all crypt asset transactions based on the instructions and information given by the client, and does not verify the identity of the recipient. The client acknowledges that they are responsible for ensuring the accuracy of all instructions and information submitted to NPay, and any errors may lead to the permanent loss of their stored crypto assets.

6.3. NPay shall not be liable or responsible for any funds lost due to errors made by the client when submitting information. Sending crypto assets to an incompatible address can lead to their permanent loss or destruction.

7. Termination

7.1. Either NPay or our client can terminate the relationship between us at any time and with no reason given, provided there are no outstanding settlements or pending transactions.

7.2. NPay can terminate client access to the mobile application at its sole discretion and the Client will not be entitled to a remedy or alternative for discontinued services.

7.3. Among other reasons not listed, NPay may also suspend or terminate your account for any or all of the following reasons:

• unlawful or unauthorized attempt to access the mobile application
• breach of security features limiting use access to or protecting content
• violations of this Terms of Use;
•  due to the request of legal authorities or financial regulators, provided that NPay deems the request to be legitimate and compelling acting in its sole discretion.
• unusual, unauthorized, or fraudulent activity in your account
• accounts that have been inactive for a period of 6 months may be canceled, deactivated, or terminated along with unconfirmed accounts. NPay is not liable for any issues resulting in terminating a relationship or deactivating an account.
•  NPay reserves the right to change, suspend, or discontinue all or any part or aspect of the services at any time without notice to the client.

8. Warranties & Acknowledgment

8.1. The client (or their representative, in the case of a legal person) confirms the following:

8.1.1. The client is of legal age, has read and understood these Terms of Use, and has the legal capacity to enter into this agreement and use the Services lawfully.

8.1.2. The client complies with all relevant laws, regulations, and rules based on their country of residence.

8.1.3. The client is solely responsible for complying with applicable tax regulations and handling taxation lawfully.

8.1.4. The client is authorized to use NPay and is using it solely for personal use.

8.1.5. The client will keep their personal data, financial details, and information about their activities on NPay confidential. The information provided by the client during the registration process is accurate, complete, and up-to-date.

8.1.6. The client will ensure an appropriate level of security for their personal data and authorization credentials, based on the level of risk.

8.1.7. The client acknowledges that funds held in their NPay account are not considered as a deposit, and NPay services are not associated with banking or financial institution services that require a specific license.

9. Risk Warning

9.1 NPay is a mobile app that allows users to deposit, withdrawal, store and payment gateway for merchants with various cryptocurrencies, but it doesn't support trading.

9.2 NPay prices are based on an aggregate provided by (coinmarketcap.com). Technical delays on the NPay app, whether they affect the price or other aspects of the service, are not the responsibility of NPay.

9.3 The time it takes to transfer crypto assets is subject to market conditions and the mining fee attached to the transaction. In the event of unauthorized use of services, NPay is not responsible and will not cover any losses.

9.4 Clients must provide accurate information when completing information requests to avoid delays and mistakes in processing transactions and payouts. This includes ensuring that spelling is correct.

9.5 NPay reserves the right to change its terms of use at any time without notice. Clients are expected to monitor the terms of use for changes. If major changes are made, NPay will notify clients, and these changes will be effective within 10 days.

10. Intellectual Property

10.1. Ownership. NPay and its affiliates own all intellectual property rights in and to NPay, including but not limited to any trademarks, service marks, logos, trade names, copyrights, and patents associated with NPay.

10.2. Limited Use. Your use of NPay is limited to personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on NPay, except as permitted by these Terms of Service or with our prior written consent.

10.3. Exceptions. Limited exceptions to the above restriction include temporary storage of NPay content in RAM or caching by your browser, as well as printing a single copy of a web page for personal, non-commercial use. Additionally, any applications that allow downloading or storing of NPay content must be used in accordance with these Terms of Service.

10.4. Prohibited Activities. You may not alter or remove any trademarks, service marks, logos, trade names, or other proprietary rights notices from NPay content. You may not use NPay for commercial purposes or any other unauthorized purpose. Any use of NPay's intellectual property without our express written permission is strictly prohibited.

10.5. Consequences of Breach. Any unauthorized use of NPay's intellectual property may result in the immediate termination of your right to use NPay, and you must cease any such unauthorized use upon notice of the breach. Additionally, such unauthorized use may violate intellectual property laws and other applicable laws.


11. Prohibited Use

11.1 The NPay mobile app and any of its features can only be used for lawful purposes.

11.2 Do not use NPay to violate any local or international laws or regulations, including laws regarding the trading of data or software to and from the EU or other countries.

11.3 Do not use NPay to exploit, harm, or attempt to exploit or harm minors in any way.

11.4 Do not use NPay to send or receive materials that do not comply with NPay's Terms of Use.

11.5 Do not use NPay to send advertising or promotional material without NPay's prior written consent.

11.6 Do not use NPay to impersonate NPay staff or any other party that you do not represent.

11.7 Do not use NPay to attempt to harm NPay users or otherwise restrict or inhibit anyone’s use or enjoyment of NPay.

11.8 Do not use NPay to republish, redistribute or re-transmit any data from any of our communications, analytics, and other products without our permission.

11.9 Do not use NPay to copy or store any of our products other than for your own personal non-commercial use. Unauthorized or commercial use is forbidden.

11.10 Do not use NPay to store or host any products (including pages of a website) on a server or other storage device connected to a network or create a database by systematically downloading and storing any data from the NPay mobile app.

11.11 Do not use NPay to remove or change any content of any product or attempt to circumvent security or interfere with the proper working of the product or any servers on which it is hosted.

11.12 Do not create links to NPay from any other website without our prior written consent unless you are the webmaster of the other site and you are aware that the link is not misleading, fairly indicates the destination, contains no statement implying an NPay endorsement, and links only to the NPay website. Do not replicate NPay IP as a Meta tag. This is permitted only in the event that the website does not contain unlawful, threatening, libelous, pornographic, or offensive content.

11.13 Do not use automated means to access NPay for any reason.

11.14 Do not create any financial product or service based on NPay's products or services.

11.15 Do not attempt to interfere with the proper working of NPay.

11.16 All use of NPay must be carried out in a lawful manner and not in such a way that could damage our reputation or those of our affiliates or partners.

11.17 Any permissions or rights given to you under NPay's Terms of Use will terminate immediately in the event that you breach or fail to comply with any of these Terms of Use.

12. User Information

12.1 NPay collects user information in accordance with its Privacy Policy. By using the mobile app and any other NPay products, you consent to NPay's use of your information in compliance with the Privacy Policy.

13. Accuracy of Content


13.1 NPay strives to ensure the accuracy and completeness of the information provided on our mobile app and website. However, we cannot guarantee that all content will always be current and up to date. It is important to note that material on our NPay mobile app and homepage may become out of date and we are not obligated or required to update it. Therefore, we strongly advise users to exercise due diligence and independently verify any information before relying on it.

14. Confidential information

14.1 NPay takes the confidentiality and security of user information seriously. However, please be aware that when using our mobile app or website, data may be transmitted over an open network and communications could potentially be intercepted by third parties. We cannot guarantee the confidentiality or security of any communication or data transmitted to us through our platform. We encourage users to exercise caution when transmitting sensitive information and take appropriate measures to protect their personal data.

15. Links For the Third Party

NPay offers links to third-party websites for users' convenience on our mobile app and website. Please note that these links may include banner advertisements and sponsored links. However, NPay does not exercise control over the content of these third-party sites or resources, and we do not assume any responsibility for any loss or damage that may arise from using them. If you decide to access any third-party websites linked to our mobile app or website, you do so entirely at your own risk and subject to the terms and conditions of use for such websites. We reserve the right to remove or withdraw linking permission at any time and without prior notice.

16. Third-Party Services

16.1. Third-part vendors and partners may use the NPay mobile app and website, and may contribute to the production and development of both. These third-party links may include banner advertisements and sponsored links. However, NPay has no control over the content of these sites or resources, and NPay is not responsible for any loss or damage that may arise from your use of them. If you choose to access any third-party websites linked to our mobile app or website, you do so at your own risk and are subject to the terms and conditions of use for such websites. This page identifies third-party terms and conditions that are required by such third-party vendors and business partners as they apply to the features set forth below, and these conditions are subject to change at the third party’s discretion.

17. DISCLAIMERS OF WARRANTIES


17.1. We acknowledge that the Website, Applications, and Products may be vulnerable to malware, viruses, or harmful code, and we cannot guarantee their security. As such, it is your responsibility to ensure the security of your IT system. We shall not be held liable for any losses or costs incurred due to the use of the Website, Applications, and Products, including but not limited to losses resulting from distributed denial-of-service attacks or other technologically harmful material that may infect your computer systems or equipment, or data or other proprietary material. Your use of the Website is at your own risk, and its content is provided on an “as is” basis with no warranties (implied or otherwise).

17.2. Neither NPay nor any person associated with NPay makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Products.

17.3. We cannot guarantee, nor can anyone associated with NPay, that any of the content or services will be accurate, reliable, free of errors, uninterrupted, or in service in perpetuity.

17.4. NPay disclaims all warranties of any kind, including express, limited, and statutory warranties to the fullest extent permitted by law.

18. Limitation on Liability

18.1. NPay, its affiliates, service providers, employees, associates, licensors, officers, or directors shall not be held liable for any damages arising from the use or inability to use NPay's mobile app or any associated sites or products. Such damages may include, but are not limited to, loss of revenue, personal injury, emotional distress, loss of goodwill, reputational damage, loss of profits, breach of contract, and loss of anticipated earnings. This limitation on liability applies regardless of whether such damages are based on contract, tort, strict liability, or any other legal theory.

18.2. NPay shall not be liable for any loss or damage arising from any use of your account by you or by any third party, including unauthorized use and cyber-attacks. You agree to indemnify and hold NPay harmless from and against any and all claims, liabilities, damages, losses, costs, expenses, fees of any kind (including reasonable attorneys' fees and legal costs), arising from any use of your account.

19. Indemnification

19.1. You agree to defend, indemnify, and hold harmless Legendary Consulting Limited, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of NPay, including but not limited to, any use of NPay's content, services, and products other than as expressly authorized in these Terms of Use or your use of any information obtained from NPay.

20. Complaints and Dispute Resolution

20.1. In the event of any complaints, please provide a clear description of the issue, your desired outcome, and any other relevant information. NPay will review your complaint objectively and endeavor to provide a resolution within a reasonable timeframe. You agree to utilize NPay's complaint resolution process before resorting to alternative solutions, such as legal action. Failure to comply with these provisions may be considered evidence of fraudulent conduct, bad faith, or an unwillingness to settle the issue.

21. Miscellaneous

21.1. These Terms of Use establish a legally binding agreement between NPay and the user. The user is prohibited from assigning any of the rights or obligations outlined in these Terms of Use to a third party without prior written consent from NPay.

21.2. NPay reserves the right to transfer and/or assign any of the rights and obligations listed in these Terms of Use at its sole discretion.

21.3. In the event that any provision of these Terms of Use is determined to be illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. NPay will enforce the provision to the extent permitted by law, and such determination shall not affect the validity or enforceability of any other provisions in these Terms of Use.

21.4. In the event of any discrepancy between the various translations of these Terms of Use, the English version shall prevail.

21.5. Section headings in these Terms of Use are provided for convenience purposes only and have no legal or contractual effect.

22. Geographic Restrictions

22.1. Legendary Consulting Limited, the corporation behind the NPay product, is based in Belize and does not make any representations or warranties that the NPay mobile app or any of its content is accessible or appropriate outside of Belize. It is possible that access may not be legal for certain individuals or in certain countries. Any access to the NPay app from other regions is done at your own risk and you must comply with all local laws and regulations applicable to you.

23. Jurisdiction

CryptoWallet reserves the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country.

23.3. In agreeing to these Terms of Use, you waive all objections to the exercise of jurisdiction over you by such courts and to venues in such courts. Exceptions may be made if the prevailing legislation relevant to the dispute or claim states otherwise.

The information provided by NPay is for general information purposes only, and NPay does not accept any responsibility for the use of this information. Use of this information is at your own risk, and NPay does not accept any liability for any financial losses incurred while using the NPay services.

Apple is a third-party beneficiary under the Terms of Use outlined in this document and reserves the right to enforce these terms against you, unless stated otherwise in the Terms and Conditions. Apple will not be responsible or liable for any third-party claim that your possession or use of the Apple application infringes on intellectual property rights. You state by agreeing with the Terms and Conditions that you are not in any country subject to US government embargo or that has been determined by the US to be a "terrorist supporting" country.

2.11. Android Applications. If you are using NPay services via an Android application, you must do so on a device owned or controlled by you using the Android OS. Google has no obligation to provide you with support or maintenance services regarding this application. Please contact NPay with any questions regarding maintenance or support, rather than contacting Google. Google is a third-party beneficiary under the Terms of Use outlined in this document and reserves the right to enforce these terms against you, unless stated otherwise in the Terms and Conditions. Google will not be responsible or liable for any third-party claim that your possession or use of the Android application infringes on intellectual property rights.

2.12. NPay is not responsible for any fees or charges that may be imposed by your internet or mobile service provider when accessing or using our services. You are responsible for paying any fees or charges associated with using our services, including any fees or charges associated with the transfer of crypto assets.

2.13. NPay may provide links to third-party websites or services as a convenience to users. NPay does not endorse, guarantee, or assume any responsibility for the accuracy, completeness, reliability, or usefulness of any information, content, or services provided by these third-party websites or services. Your use of third-party websites or services is at your own risk, and you should review the terms and conditions and privacy policies of these third-party websites or services before using them.

2.14. NPay reserves the right to suspend, restrict, or terminate your access to our services at any time and without notice if we have reasonable grounds to believe that you have violated these Terms and Conditions, our Privacy Policy, or any applicable law or regulation. In the event of a suspension, restriction, or termination, you may not be able to access your crypto assets or complete any transactions using our services.

2.15. NPay may suspend, restrict, or terminate our services at any time and without notice for any reason, including but not limited to maintenance, security, or operational reasons. In the event of a suspension, restriction, or termination, we will use reasonable efforts to notify users in advance, and we will not be liable for any losses incurred as a result of such suspension, restriction, or termination.

2.16. These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and NPay and govern your use of our services. These Terms and Conditions supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and NPay. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

3. Provision of Services

3.1. To use NPay's services and products, the User must open a Client Account with NPay.

3.2. NPay reserves the right to approve or reject any application based on our internal policies. We are not obligated to disclose the reasons for our decision regarding an application.

3.3. The Client must provide all the necessary information and documents required to open an account. NPay may request additional information after the account has been opened and approved, and the Client must provide this information to continue using their Client Account.

3.4. If there is a change in information and/or documents, the Client must inform NPay immediately. If a Client refuses to provide additional information when asked, NPay may withhold or stop access to the Services and the Account.

3.5. Transaction limits and fees are set at the sole discretion of NPay and are subject to change. If the Client does not agree to the changes, they must inform NPay immediately. If the Client continues to use our Services, that means they accept the changes.

3.6. The Client acknowledges and accepts that any losses incurred from losing access to NPay's services are not the responsibility of NPay, and NPay is not liable for these losses.

4. Transaction Operations


4.1 Definition of "Transaction Operation"

In the context of these terms and conditions, a "transaction operation" refers to the deposit, withdrawal, storage, or transfer of crypto assets for crypto payment purposes only, unless explicitly stated otherwise.IMPORTANT: Please note that NPay does not support the trading of digital assets and cannot be held responsible for any transactions related to digital assets.

4.2 Requests and Instructions

The client is responsible for providing instructions relating to the transaction type, amount, and wallet information. The client initiates the transaction independently, and NPay executes the transaction after the client confirms the transaction operation conditions and submits the instructions.NOTE: NPay is not liable for the accuracy, completeness, or legality of the information provided by the client, nor can it be held responsible for any activities or results of instructions provided by the client.

4.3 Information Provided by NPay

The client can access information relating to the initiated transaction on NPay's transaction system,
which includes:

• The requested amount of the transaction
• Transaction fees
• Wallet or account information in accordance with the client's instructions
• Other fees related to the transaction (e.g., blockchain fees)
• Rates and time limits, where applicable
• The total amount of crypto assets deducted from the client

4.4 Confirmation and Execution

Once the client confirms the transaction and the instructions are provided, NPay will execute the transaction and transfer the crypto assets to the client. Confirming the transaction will authorize NPay to charge commissions and fees from the client's account. If there are insufficient funds in the client's account to cover these fees and commissions, the transaction will not be processed.

4.5 Transfer

The initiated transaction transfer will be processed immediately, but please note that due to the nature of blockchain technology, the transaction time may take some time to complete.

4.6 Limitations

NPay reserves the right to apply limitations to single transactions or daily/monthly/yearly transaction volumes per client account.

4.7 Fees

By accepting these terms and conditions, the client agrees to pay NPay a fee for each initiated transaction. Blockchain fees will be automatically calculated based on the actual and required fees for processing blockchain transactions, and will not be charged by NPay. Our fees are subject to change without notice, and the client is responsible for paying these fees when charged. The client acknowledges and agrees to NPay's fees and understands that NPay may withdraw funds from the client's account to cover such fees.

4.8 Fraud Attempts

If NPay suspects any fraudulent activity on the part of any client, we reserve the right to suspend or terminate the client's account and reverse payouts. We also reserve the right to contact law enforcement agencies, financial regulators, and third parties regarding any suspected fraud. NPay is not liable for any fraud or illegal activity carried out by the client.

5. Storage fee

5.1. The Client acknowledges and agrees that NPay may apply a storage fee to inactive accounts.

5.2. If a Client Account becomes subject to the storage fee, charging will stop on the next business day after the Client starts transacting with NPay services. The storage fee will be charged to store the Client's balances if there is no transaction using NPay services for a period of six (6) to twelve (12) months. Transactions include withdrawal, deposit, exchange, or transfer.

5.3. The Client will be notified of the applicable storage fee and its amount after their account has been inactive for six (6) months.

6. Refund, Cancellation, and Chargeback

6.1. The client understands and agrees that all transactions made through NPay are final, and no refunds, cancellations, or chargebacks are applicable for any type of transaction. Even if a transaction experiences technical delays, chargebacks will not be allowed, and NPay will process and transfer the crypto assets as per the client's instructions provided during transaction initiation. This means that the client will receive the requested amount and type of crypto assets regardless.

6.2. NPay processes all crypt asset transactions based on the instructions and information given by the client, and does not verify the identity of the recipient. The client acknowledges that they are responsible for ensuring the accuracy of all instructions and information submitted to NPay, and any errors may lead to the permanent loss of their stored crypto assets.

6.3. NPay shall not be liable or responsible for any funds lost due to errors made by the client when submitting information. Sending crypto assets to an incompatible address can lead to their permanent loss or destruction.

7. Termination

7.1. Either NPay or our client can terminate the relationship between us at any time and with no reason given, provided there are no outstanding settlements or pending transactions.

7.2. NPay can terminate client access to the mobile application at its sole discretion and the Client will not be entitled to a remedy or alternative for discontinued services.

7.3. Among other reasons not listed, NPay may also suspend or terminate your account for any or all of the following reasons:

• unlawful or unauthorized attempt to access the mobile application
• breach of security features limiting use access to or protecting content
• violations of this Terms of Use;
•  due to the request of legal authorities or financial regulators, provided that NPay deems the request to be legitimate and compelling acting in its sole discretion.
• unusual, unauthorized, or fraudulent activity in your account
• accounts that have been inactive for a period of 6 months may be canceled, deactivated, or terminated along with unconfirmed accounts. NPay is not liable for any issues resulting in terminating a relationship or deactivating an account.
•  NPay reserves the right to change, suspend, or discontinue all or any part or aspect of the services at any time without notice to the client.

8. Warranties & Acknowledgment

8.1. The client (or their representative, in the case of a legal person) confirms the following:

8.1.1. The client is of legal age, has read and understood these Terms of Use, and has the legal capacity to enter into this agreement and use the Services lawfully.

8.1.2. The client complies with all relevant laws, regulations, and rules based on their country of residence.

8.1.3. The client is solely responsible for complying with applicable tax regulations and handling taxation lawfully.

8.1.4. The client is authorized to use NPay and is using it solely for personal use.

8.1.5. The client will keep their personal data, financial details, and information about their activities on NPay confidential. The information provided by the client during the registration process is accurate, complete, and up-to-date.

8.1.6. The client will ensure an appropriate level of security for their personal data and authorization credentials, based on the level of risk.

8.1.7. The client acknowledges that funds held in their NPay account are not considered as a deposit, and NPay services are not associated with banking or financial institution services that require a specific license.

9. Risk Warning

9.1 NPay is a mobile app that allows users to deposit, withdrawal, store and payment gateway for merchants with various cryptocurrencies, but it doesn't support trading.

9.2 NPay prices are based on an aggregate provided by (coinmarketcap.com). Technical delays on the NPay app, whether they affect the price or other aspects of the service, are not the responsibility of NPay.

9.3 The time it takes to transfer crypto assets is subject to market conditions and the mining fee attached to the transaction. In the event of unauthorized use of services, NPay is not responsible and will not cover any losses.

9.4 Clients must provide accurate information when completing information requests to avoid delays and mistakes in processing transactions and payouts. This includes ensuring that spelling is correct.

9.5 NPay reserves the right to change its terms of use at any time without notice. Clients are expected to monitor the terms of use for changes. If major changes are made, NPay will notify clients, and these changes will be effective within 10 days.

10. Intellectual Property

10.1. Ownership. NPay and its affiliates own all intellectual property rights in and to NPay, including but not limited to any trademarks, service marks, logos, trade names, copyrights, and patents associated with NPay.

10.2. Limited Use. Your use of NPay is limited to personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on NPay, except as permitted by these Terms of Service or with our prior written consent.

10.3. Exceptions. Limited exceptions to the above restriction include temporary storage of NPay content in RAM or caching by your browser, as well as printing a single copy of a web page for personal, non-commercial use. Additionally, any applications that allow downloading or storing of NPay content must be used in accordance with these Terms of Service.

10.4. Prohibited Activities. You may not alter or remove any trademarks, service marks, logos, trade names, or other proprietary rights notices from NPay content. You may not use NPay for commercial purposes or any other unauthorized purpose. Any use of NPay's intellectual property without our express written permission is strictly prohibited.

10.5. Consequences of Breach. Any unauthorized use of NPay's intellectual property may result in the immediate termination of your right to use NPay, and you must cease any such unauthorized use upon notice of the breach. Additionally, such unauthorized use may violate intellectual property laws and other applicable laws.


11. Prohibited Use

11.1 The NPay mobile app and any of its features can only be used for lawful purposes.

11.2 Do not use NPay to violate any local or international laws or regulations, including laws regarding the trading of data or software to and from the EU or other countries.

11.3 Do not use NPay to exploit, harm, or attempt to exploit or harm minors in any way.

11.4 Do not use NPay to send or receive materials that do not comply with NPay's Terms of Use.

11.5 Do not use NPay to send advertising or promotional material without NPay's prior written consent.

11.6 Do not use NPay to impersonate NPay staff or any other party that you do not represent.

11.7 Do not use NPay to attempt to harm NPay users or otherwise restrict or inhibit anyone’s use or enjoyment of NPay.

11.8 Do not use NPay to republish, redistribute or re-transmit any data from any of our communications, analytics, and other products without our permission.

11.9 Do not use NPay to copy or store any of our products other than for your own personal non-commercial use. Unauthorized or commercial use is forbidden.

11.10 Do not use NPay to store or host any products (including pages of a website) on a server or other storage device connected to a network or create a database by systematically downloading and storing any data from the NPay mobile app.

11.11 Do not use NPay to remove or change any content of any product or attempt to circumvent security or interfere with the proper working of the product or any servers on which it is hosted.

11.12 Do not create links to NPay from any other website without our prior written consent unless you are the webmaster of the other site and you are aware that the link is not misleading, fairly indicates the destination, contains no statement implying an NPay endorsement, and links only to the NPay website. Do not replicate NPay IP as a Meta tag. This is permitted only in the event that the website does not contain unlawful, threatening, libelous, pornographic, or offensive content.

11.13 Do not use automated means to access NPay for any reason.

11.14 Do not create any financial product or service based on NPay's products or services.

11.15 Do not attempt to interfere with the proper working of NPay.

11.16 All use of NPay must be carried out in a lawful manner and not in such a way that could damage our reputation or those of our affiliates or partners.

18. Limitation on Liability

NPay, its affiliates, service providers, employees, associates, licensors, officers, or directors shall not be held liable for any damages arising from the use or inability to use NPay's mobile app or any associated sites or products. You agree to defend, indemnify, and hold harmless Legendary Consulting Limited, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of NPay, including but not limited to, any use of NPay's content, services, and products other than as expressly authorized in these Terms of Use or your use of any information obtained from NPay.

NPay will review your complaint objectively and endeavor to provide a resolution within a reasonable timeframe. You agree to utilize NPay's complaint resolution process before resorting to alternative solutions, such as legal action. Failure to comply with these provisions may be considered evidence of fraudulent conduct, bad faith, or an unwillingness to settle the issue.

21.1. These Terms of Use establish a legally binding agreement between NPay and the user. The user is prohibited from assigning any of the rights or obligations outlined in these Terms of Use to a third party without prior written consent from NPay.

21.2. NPay reserves the right to transfer and/or assign any of the rights and obligations listed in these Terms of Use at its sole discretion.

21.3. In the event that any provision of these Terms of Use is determined to be illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. NPay will enforce the provision to the extent permitted by law, and such determination shall not affect the validity or enforceability of any other provisions in these Terms of Use.

21.4. In the event of any discrepancy between the various translations of these Terms of Use, the English version shall prevail.

21.5. Section headings in these Terms of Use are provided for convenience purposes only and have no legal or contractual effect.

22. Geographic Restrictions

22.1. Legendary Consulting Limited, the corporation behind the NPay product, is based in Belize and does not make any representations or warranties that the NPay mobile app or any of its content is accessible or appropriate outside of Belize. It is possible that access may not be legal for certain individuals or in certain countries. Any access to the NPay app from other regions is done at your own risk and you must comply with all local laws and regulations applicable to you.

23. Jurisdiction

23.1. Any legal claim or dispute regarding the use of the Website or other Products and these Terms of Use shall be governed by the internal laws of the Republic of Estonia without giving effect to any choice or conflict of law provision or rule (whether of Estonia or any other jurisdiction).

23.2. Any lawsuit or legal action as mentioned above will be instituted exclusively in the courts of the Republic of Estonia. CryptoWallet reserves the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country.

23.3. In agreeing to these Terms of Use, you waive all objections to the exercise of jurisdiction over you by such courts and to venues in such courts. Exceptions may be made if the prevailing legislation relevant to the dispute or claim states otherwise.

We do not accept liability for any financial losses incurred while using NPay or for damages of any kind incurred because of anyone using NPay in any way, including through relying on the information or tools offered by NPay.

1.7. We cannot and do not offer a guarantee that NPay is free from viruses, malware, or other harmful software, and it is your responsibility to check for malware and viruses and implement appropriate IT security when using NPay.

1.9. NPay reserves the right to make changes to the mobile application or withdraw the mobile application, and to amend or withdraw any Products that we offer at our sole discretion. We do not guarantee that NPay will exist in perpetuity with uninterrupted service, and we will not be liable if NPay becomes unavailable for any period or at any time.

1.10. To access NPay, you may need to provide personal information such as your name, email address, and phone number. You also agree to keep your login credentials confidential and not to share them with anyone else. 2.3. You represent and warrant that you are at least 18 years old or of legal age in your country of residence and that you have the legal capacity to enter into these Terms and Conditions.

2.4. NPay does not provide any investment or trading advice. The information provided by NPay is for general information purposes only, and NPay does not accept any responsibility for the use of this information. Use of this information is at your own risk, and NPay does not accept any liability for any financial losses incurred while using the NPay services.

2.5. NPay reserves the right to update or change the format and content of its services without notifying users. The content and format are accepted "as is" and should be used at your own risk. The content may include content related to or provided by third parties. NPay does not accept responsibility for the information and views presented in third-party content.

Apple has no obligation to provide you with support or maintenance services regarding this application. Please contact NPay with any questions regarding maintenance or support, rather than contacting Apple. Apple is a third-party beneficiary under the Terms of Use outlined in this document and reserves the right to enforce these terms against you, unless stated otherwise in the Terms and Conditions. Apple will not be responsible or liable for any third-party claim that your possession or use of the Apple application infringes on intellectual property rights. You state by agreeing with the Terms and Conditions that you are not in any country subject to US government embargo or that has been determined by the US to be a "terrorist supporting" country.

2.11. Android Applications. If you are using NPay services via an Android application, you must do so on a device owned or controlled by you using the Android OS. Google has no obligation to provide you with support or maintenance services regarding this application. Please contact NPay with any questions regarding maintenance or support, rather than contacting Google. Google is a third-party beneficiary under the Terms of Use outlined in this document and reserves the right to enforce these terms against you, unless stated otherwise in the Terms and Conditions. Google will not be responsible or liable for any third-party claim that your possession or use of the Android application infringes on intellectual property rights.

2.12. NPay is not responsible for any fees or charges that may be imposed by your internet or mobile service provider when accessing or using our services. You are responsible for paying any fees or charges associated with using our services, including any fees or charges associated with the transfer of crypto assets.

2.13. NPay may provide links to third-party websites or services as a convenience to users. NPay does not endorse, guarantee, or assume any responsibility for the accuracy, completeness, reliability, or usefulness of any information, content, or services provided by these third-party websites or services. Your use of third-party websites or services is at your own risk, and you should review the terms and conditions and privacy policies of these third-party websites or services before using them.

2.14. NPay reserves the right to suspend, restrict, or terminate your access to our services at any time and without notice if we have reasonable grounds to believe that you have violated these Terms and Conditions, our Privacy Policy, or any applicable law or regulation. In the event of a suspension, restriction, or termination, you may not be able to access your crypto assets or complete any transactions using our services.

2.15. NPay may suspend, restrict, or terminate our services at any time and without notice for any reason, including but not limited to maintenance, security, or operational reasons. In the event of a suspension, restriction, or termination, we will use reasonable efforts to notify users in advance, and we will not be liable for any losses incurred as a result of such suspension, restriction, or termination.

2.16. These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and NPay and govern your use of our services. These Terms and Conditions supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and NPay. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

3. Provision of Services

3.1. To use NPay's services and products, the User must open a Client Account with NPay.

3.2. NPay reserves the right to approve or reject any application based on our internal policies. We are not obligated to disclose the reasons for our decision regarding an application.

3.3. The Client must provide all the necessary information and documents required to open an account. NPay may request additional information after the account has been opened and approved, and the Client must provide this information to continue using their Client Account.

3.4. If there is a change in information and/or documents, the Client must inform NPay immediately. If a Client refuses to provide additional information when asked, NPay may withhold or stop access to the Services and the Account.

3.5. Transaction limits and fees are set at the sole discretion of NPay and are subject to change. If the Client does not agree to the changes, they must inform NPay immediately. If the Client continues to use our Services, that means they accept the changes.

3.6. The Client acknowledges and accepts that any losses incurred from losing access to NPay's services are not the responsibility of NPay, and NPay is not liable for these losses.

4. Transaction Operations


4.1 Definition of "Transaction Operation"

In the context of these terms and conditions, a "transaction operation" refers to the deposit, withdrawal, storage, or transfer of crypto assets for crypto payment purposes only, unless explicitly stated otherwise.IMPORTANT: Please note that NPay does not support the trading of digital assets and cannot be held responsible for any transactions related to digital assets.

4.2 Requests and Instructions

The client is responsible for providing instructions relating to the transaction type, amount, and wallet information. The client initiates the transaction independently, and NPay executes the transaction after the client confirms the transaction operation conditions and submits the instructions.NOTE: NPay is not liable for the accuracy, completeness, or legality of the information provided by the client, nor can it be held responsible for any activities or results of instructions provided by the client.

4.3 Information Provided by NPay

The client can access information relating to the initiated transaction on NPay's transaction system,
which includes:

• The requested amount of the transaction
• Transaction fees
• Wallet or account information in accordance with the client's instructions
• Other fees related to the transaction (e.g., blockchain fees)
• Rates and time limits, where applicable
• The total amount of crypto assets deducted from the client

4.4 Confirmation and Execution

Once the client confirms the transaction and the instructions are provided, NPay will execute the transaction and transfer the crypto assets to the client. Confirming the transaction will authorize NPay to charge commissions and fees from the client's account. If there are insufficient funds in the client's account to cover these fees and commissions, the transaction will not be processed.

4.5 Transfer

The initiated transaction transfer will be processed immediately, but please note that due to the nature of blockchain technology, the transaction time may take some time to complete.

4.6 Limitations

NPay reserves the right to apply limitations to single transactions or daily/monthly/yearly transaction volumes per client account.

4.7 Fees

By accepting these terms and conditions, the client agrees to pay NPay a fee for each initiated transaction. Blockchain fees will be automatically calculated based on the actual and required fees for processing blockchain transactions, and will not be charged by NPay. Our fees are subject to change without notice, and the client is responsible for paying these fees when charged. The client acknowledges and agrees to NPay's fees and understands that NPay may withdraw funds from the client's account to cover such fees.

4.8 Fraud Attempts

If NPay suspects any fraudulent activity on the part of any client, we reserve the right to suspend or terminate the client's account and reverse payouts. We also reserve the right to contact law enforcement agencies, financial regulators, and third parties regarding any suspected fraud. NPay is not liable for any fraud or illegal activity carried out by the client.

5. Storage fee

5.1. The Client acknowledges and agrees that NPay may apply a storage fee to inactive accounts.

5.2. If a Client Account becomes subject to the storage fee, charging will stop on the next business day after the Client starts transacting with NPay services. The storage fee will be charged to store the Client's balances if there is no transaction using NPay services for a period of six (6) to twelve (12) months. Transactions include withdrawal, deposit, exchange, or transfer.

5.3. The Client will be notified of the applicable storage fee and its amount after their account has been inactive for six (6) months.

6. Refund, Cancellation, and Chargeback

6.1. The client understands and agrees that all transactions made through NPay are final, and no refunds, cancellations, or chargebacks are applicable for any type of transaction. Even if a transaction experiences technical delays, chargebacks will not be allowed, and NPay will process and transfer the crypto assets as per the client's instructions provided during transaction initiation. This means that the client will receive the requested amount and type of crypto assets regardless.

6.2. NPay processes all crypt asset transactions based on the instructions and information given by the client, and does not verify the identity of the recipient. The client acknowledges that they are responsible for ensuring the accuracy of all instructions and information submitted to NPay, and any errors may lead to the permanent loss of their stored crypto assets.

6.3. NPay shall not be liable or responsible for any funds lost due to errors made by the client when submitting information. Sending crypto assets to an incompatible address can lead to their permanent loss or destruction.

7. Termination

7.1. Either NPay or our client can terminate the relationship between us at any time and with no reason given, provided there are no outstanding settlements or pending transactions.

7.2. NPay can terminate client access to the mobile application at its sole discretion and the Client will not be entitled to a remedy or alternative for discontinued services.

7.3. Among other reasons not listed, NPay may also suspend or terminate your account for any or all of the following reasons:

• unlawful or unauthorized attempt to access the mobile application
• breach of security features limiting use access to or protecting content
• violations of this Terms of Use;
•  due to the request of legal authorities or financial regulators, provided that NPay deems the request to be legitimate and compelling acting in its sole discretion.
• unusual, unauthorized, or fraudulent activity in your account
• accounts that have been inactive for a period of 6 months may be canceled, deactivated, or terminated along with unconfirmed accounts. NPay is not liable for any issues resulting in terminating a relationship or deactivating an account.
•  NPay reserves the right to change, suspend, or discontinue all or any part or aspect of the services at any time without notice to the client.

8. Warranties & Acknowledgment

8.1. The client (or their representative, in the case of a legal person) confirms the following:

8.1.1. The client is of legal age, has read and understood these Terms of Use, and has the legal capacity to enter into this agreement and use the Services lawfully.

8.1.2. The client complies with all relevant laws, regulations, and rules based on their country of residence.

8.1.3. The client is solely responsible for complying with applicable tax regulations and handling taxation lawfully.

8.1.4. The client is authorized to use NPay and is using it solely for personal use.

8.1.5. The client will keep their personal data, financial details, and information about their activities on NPay confidential. The information provided by the client during the registration process is accurate, complete, and up-to-date.

8.1.6. The client will ensure an appropriate level of security for their personal data and authorization credentials, based on the level of risk.

8.1.7. The client acknowledges that funds held in their NPay account are not considered as a deposit, and NPay services are not associated with banking or financial institution services that require a specific license.

9. Risk Warning

9.1 NPay is a mobile app that allows users to deposit, withdrawal, store and payment gateway for merchants with various cryptocurrencies, but it doesn't support trading.

9.2 NPay prices are based on an aggregate provided by (coinmarketcap.com). Technical delays on the NPay app, whether they affect the price or other aspects of the service, are not the responsibility of NPay.

9.3 The time it takes to transfer crypto assets is subject to market conditions and the mining fee attached to the transaction. In the event of unauthorized use of services, NPay is not responsible and will not cover any losses.

9.4 Clients must provide accurate information when completing information requests to avoid delays and mistakes in processing transactions and payouts. This includes ensuring that spelling is correct.

9.5 NPay reserves the right to change its terms of use at any time without notice. Clients are expected to monitor the terms of use for changes. If major changes are made, NPay will notify clients, and these changes will be effective within 10 days.

10. Intellectual Property

10.1. Ownership. NPay and its affiliates own all intellectual property rights in and to NPay, including but not limited to any trademarks, service marks, logos, trade names, copyrights, and patents associated with NPay.

10.2. Limited Use. Your use of NPay is limited to personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on NPay, except as permitted by these Terms of Service or with our prior written consent.

10.3. Exceptions. Limited exceptions to the above restriction include temporary storage of NPay content in RAM or caching by your browser, as well as printing a single copy of a web page for personal, non-commercial use. Additionally, any applications that allow downloading or storing of NPay content must be used in accordance with these Terms of Service.

10.4. Prohibited Activities. You may not alter or remove any trademarks, service marks, logos, trade names, or other proprietary rights notices from NPay content. You may not use NPay for commercial purposes or any other unauthorized purpose. Any use of NPay's intellectual property without our express written permission is strictly prohibited.

10.5. Consequences of Breach. Any unauthorized use of NPay's intellectual property may result in the immediate termination of your right to use NPay, and you must cease any such unauthorized use upon notice of the breach. Additionally, such unauthorized use may violate intellectual property laws and other applicable laws.


11. Prohibited Use

11.1 The NPay mobile app and any of its features can only be used for lawful purposes.

11.2 Do not use NPay to violate any local or international laws or regulations, including laws regarding the trading of data or software to and from the EU or other countries.

11.3 Do not use NPay to exploit, harm, or attempt to exploit or harm minors in any way.

11.4 Do not use NPay to send or receive materials that do not comply with NPay's Terms of Use.

11.5 Do not use NPay to send advertising or promotional material without NPay's prior written consent.

11.6 Do not use NPay to impersonate NPay staff or any other party that you do not represent.

11.7 Do not use NPay to attempt to harm NPay users or otherwise restrict or inhibit anyone’s use or enjoyment of NPay.

11.8 Do not use NPay to republish, redistribute or re-transmit any data from any of our communications, analytics, and other products without our permission.

11.9 Do not use NPay to copy or store any of our products other than for your own personal non-commercial use. Unauthorized or commercial use is forbidden.

11.10 Do not use NPay to store or host any products (including pages of a website) on a server or other storage device connected to a network or create a database by systematically downloading and storing any data from the NPay mobile app.

11.11 Do not use NPay to remove or change any content of any product or attempt to circumvent security or interfere with the proper working of the product or any servers on which it is hosted.

11.12 Do not create links to NPay from any other website without our prior written consent unless you are the webmaster of the other site and you are aware that the link is not misleading, fairly indicates the destination, contains no statement implying an NPay endorsement, and links only to the NPay website. Do not replicate NPay IP as a Meta tag. This is permitted only in the event that the website does not contain unlawful, threatening, libelous, pornographic, or offensive content.

11.13 Do not use automated means to access NPay for any reason.

11.14 Do not create any financial product or service based on NPay's products or services.

11.15 Do not attempt to interfere with the proper working of NPay.

11.16 All use of NPay must be carried out in a lawful manner and not in such a way that could damage our reputation or those of our affiliates or partners.

11.17 Any permissions or rights given to you under NPay's Terms of Use will terminate immediately in the event that you breach or fail to comply with any of these Terms of Use.

17.3. We cannot guarantee, nor can anyone associated with NPay, that any of the content or services will be accurate, reliable, free of errors, uninterrupted, or in service in perpetuity.

17.4. NPay disclaims all warranties of any kind, including express, limited, and statutory warranties to the fullest extent permitted by law.

18. Limitation on Liability

18.1. NPay, its affiliates, service providers, employees, associates, licensors, officers, or directors shall not be held liable for any damages arising from the use or inability to use NPay's mobile app or any associated sites or products. Such damages may include, but are not limited to, loss of revenue, personal injury, emotional distress, loss of goodwill, reputational damage, loss of profits, breach of contract, and loss of anticipated earnings. 19. Indemnification

19.1. You agree to defend, indemnify, and hold harmless Legendary Consulting Limited, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of NPay, including but not limited to, any use of NPay's content, services, and products other than as expressly authorized in these Terms of Use or your use of any information obtained from NPay.

20. Complaints and Dispute Resolution

20.1. In the event of any complaints, please provide a clear description of the issue, your desired outcome, and any other relevant information. NPay will review your complaint objectively and endeavor to provide a resolution within a reasonable timeframe. You agree to utilize NPay's complaint resolution process before resorting to alternative solutions, such as legal action. Failure to comply with these provisions may be considered evidence of fraudulent conduct, bad faith, or an unwillingness to settle the issue.

21. Miscellaneous

21.1. These Terms of Use establish a legally binding agreement between NPay and the user. The user is prohibited from assigning any of the rights or obligations outlined in these Terms of Use to a third party without prior written consent from NPay.

21.2. NPay reserves the right to transfer and/or assign any of the rights and obligations listed in these Terms of Use at its sole discretion.

21.3. In the event that any provision of these Terms of Use is determined to be illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. NPay will enforce the provision to the extent permitted by law, and such determination shall not affect the validity or enforceability of any other provisions in these Terms of Use.

21.4. In the event of any discrepancy between the various translations of these Terms of Use, the English version shall prevail.

21.5. Section headings in these Terms of Use are provided for convenience purposes only and have no legal or contractual effect.

22. Geographic Restrictions

22.1. Legendary Consulting Limited, the corporation behind the NPay product, is based in Belize and does not make any representations or warranties that the NPay mobile app or any of its content is accessible or appropriate outside of Belize. It is possible that access may not be legal for certain individuals or in certain countries. Any access to the NPay app from other regions is done at your own risk and you must comply with all local laws and regulations applicable to you.

23. Jurisdiction

23.1. Any legal claim or dispute regarding the use of the Website or other Products and these Terms of Use shall be governed by the internal laws of the Republic of Estonia without giving effect to any choice or conflict of law provision or rule (whether of Estonia or any other jurisdiction).

23.2. Any lawsuit or legal action as mentioned above will be instituted exclusively in the courts of the Republic of Estonia. CryptoWallet reserves the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country.

23.3. In agreeing to these Terms of Use, you waive all objections to the exercise of jurisdiction over you by such courts and to venues in such courts. Exceptions may be made if the prevailing legislation relevant to the dispute or claim states otherwise.
